Promota Logo Limited – Trading Terms & Conditions
1. Definitions
"Company” refers to Promota Logo Limited.
“Client” refers to any individual or business purchasing goods or services from the Company.
“Goods” refers to printed products, branded items, artwork, digital files, or any physical or digital deliverables supplied.
“Services” refers to design, artwork creation, logo isolation, colour matching, consultancy, production, or any other work undertaken by the Company.
“Order” refers to any request for Goods or Services accepted by the Company.
2. Quotations & Pricing
All quotations are valid for 30 days unless stated otherwise.
Prices exclude VAT unless clearly stated.
The Company reserves the right to adjust pricing if the Client changes the specification, artwork, quantities, or deadlines after quotation.
Any additional work required due to incomplete, incorrect, or unsuitable Client-supplied files will be charged at the Company’s standard hourly rate.
3. Orders & Acceptance
An Order is only accepted once confirmed in writing by the Company (email is sufficient).
The Company may refuse an Order if the content is unlawful, offensive, or infringes third‑party rights.
Custom or personalised Orders cannot be cancelled once production has begun.
4. Artwork, Design & Intellectual Property
All artwork created by the Company (including logo isolation, redraws, digit creation, colour matching, and design work) remains the intellectual property of the Company until full payment is received.
Unless otherwise agreed in writing, the Company grants the Client a non‑exclusive licence to use the artwork for the intended purpose only.
Client‑supplied artwork must be owned by the Client or licensed for use. The Client is responsible for ensuring no copyright or trademark infringement occurs.
The Company may use completed work for portfolio, marketing, or promotional purposes unless the Client requests confidentiality in writing.
5. Colour Matching & Production Tolerances
The Company will make all reasonable efforts to match colours, including Pantone references, but exact colour reproduction cannot be guaranteed due to variations in materials, inks, profiles, and production processes.
Minor variations in colour, finish, or material are considered acceptable and do not constitute defects.
Proofs must be approved in writing before production. The Company is not liable for errors approved by the Client.
6. Lead Times & Delivery
Lead times begin only after written approval of artwork and receipt of any required payment.
Delivery dates are estimates and not guaranteed.
The Company is not liable for delays caused by couriers, customs, supply chain issues, or circumstances beyond its control.
Risk in the Goods passes to the Client upon delivery. Title passes upon full payment.
7. Payment Terms
Standard payment terms are 50% deposit with Order and 50% on completion, unless otherwise agreed.
All invoices are payable within 14 days of issue unless otherwise agreed.
Late payments may incur interest at 8% above the Bank of England base rate, plus reasonable recovery costs.
Goods remain the property of the Company until paid in full.
8. Returns, Faults & Liability
Custom or personalised Goods are non‑returnable unless defective.
Claims for defects must be made within 7 days of delivery.
The Company’s liability is limited to repair, replacement, or refund of the defective Goods only.
The Company is not liable for:
Indirect or consequential losses
Loss of profit, business, or reputation
Errors arising from Client‑supplied artwork or instructions
9. Client Responsibilities
The Client must:
Provide accurate specifications, artwork, and instructions.
Approve proofs promptly.
Ensure all intellectual property rights are cleared.
Inspect Goods upon delivery.
10. Force Majeure
The Company is not liable for failure to perform due to events beyond its reasonable control, including but not limited to: equipment failure, supply shortages, illness, transport disruption, fire, flood, or acts of government.
11. Confidentiality
Both parties agree to keep confidential any non‑public information shared during the project, unless disclosure is required by law.
12. Governing Law
These Terms & Conditions are governed by the laws of England and Wales, and any disputes shall be subject to the exclusive jurisdiction of the English courts.
13. Amendments
The Company may update these Terms & Conditions at any time. The version in force at the time of order acceptance will apply.
